01Acceptance and definitions
These Terms of Service govern access to the website tektaxis.com.br and the use of Nexus, network device configuration backup software developed and licensed by TektAxis. By using the website or installing or using Nexus, you agree to these terms and to the Privacy Policy. TektAxis is the trade name of 52.084.821 DAVI PIRES SANTOS - ME, registered in Brazil under CNPJ 52.084.821/0001-57.
- Customer: the individual or company that purchases a Nexus license;
- User: anyone who accesses Nexus on the customer’s behalf;
- License: the authorization issued by TektAxis for one machine, with edition, term and device limit;
- Contract: the commercial proposal, order or agreement accepted by TektAxis and the customer.
If these terms conflict with the Contract, the Contract prevails. Anyone using Nexus on behalf of a company represents that they have authority to accept these terms on its behalf.
02Use of the website
The website’s content (text, brand, logos, images and code) belongs to TektAxis or to third parties who licensed it, and is protected by intellectual property law. You may browse and share links, but you may not copy, reproduce or use the content commercially without permission.
Information on the website is general and is not a commercial offer: prices, features and conditions are defined in the Contract.
03Nexus license
Subject to payment and compliance with these terms, TektAxis grants the customer a non-exclusive, non-transferable and non-sublicensable license to use Nexus, limited:
- to the machine the license was issued for;
- to the purchased term and edition;
- to the maximum number of devices stated in the license;
- to use by the customer to manage its own network or networks it administers under contract.
Nexus is licensed, not sold. No rights are granted beyond those written here and in the Contract.
04What is not allowed
Without prior written permission from TektAxis, you may not:
- copy, distribute, sublicense, rent, sell or publish Nexus or any part of it;
- modify, decompile, disassemble or reverse engineer the software, except to the extent the law expressly allows;
- remove, bypass or disable the license check, the integrity check or other technical protections;
- use Nexus on more machines or with more devices than licensed;
- use Nexus to access devices or networks without their owners’ authorization, or for any unlawful purpose.
05License check
Nexus checks the license on the server itself, by digital signature, without sending data to TektAxis. The license is bound to the machine identifier: cloning or migrating the virtual machine, or replacing the disk, may require a new activation, which must be requested from support.
Without a valid license, or with an expired license or one issued for another machine, Nexus stops collecting and exporting backups and the interface is locked, subject to the grace period stated in the license. Backups already saved remain stored on the customer’s server.
06Customer responsibilities
The customer is responsible for:
- providing and maintaining the required virtual machine and operating system (Debian 12), with adequate resources, power, network and security updates;
- being authorized to access the registered devices and keeping the credentials provided up to date;
- protecting access to the Nexus interface with strong-password users, and removing access that is no longer needed;
- choosing, contracting and securing the cloud destinations or servers backups are exported to;
- keeping its own copy of data it considers critical and periodically testing backup restoration;
- complying with the LGPD and other laws regarding the data it processes with Nexus.
07Third-party and cloud services
Nexus can export backups to third-party services such as Google Drive, Microsoft OneDrive, Dropbox, FTP, SFTP and WebDAV servers and S3-compatible storage. These services are contracted by the customer directly with the providers and are governed by their terms and policies.
TektAxis does not control these services and is not liable for outages, API changes, storage limits, charges or data loss caused by them. The customer can revoke the connection at any time, in Nexus or in the provider account.
08Support and updates
Technical support and updates are provided under the Contract, through suporte@tektaxis.com.br. The license states until when the customer is entitled to new versions. Updates may add, change or remove features to maintain security and compatibility with vendors and providers.
The TektAxis team only accesses the customer’s server remotely with the customer’s authorization, and only as needed for the support request.
09Price, payment and term
Prices, payment method, adjustments and term are defined in the Contract. Non-payment may lead to suspension of support and non-renewal of the license, after notice to the customer.
10Intellectual property and open source
Nexus, its brand, documentation and code belong to TektAxis. The collection engine is derived from the open source project Oxidized, distributed under the Apache License 2.0. Third-party components are governed by their own licenses, listed in the NOTICE file and the licenses folder that ship with the software, and nothing in these terms restricts the rights those licenses grant.
Suggestions sent by the customer may be used by TektAxis to improve the product, without any obligation to pay.
11Warranties and limitation of liability
TektAxis undertakes to provide Nexus as documented and to fix reproducible defects within the timeframes in the Contract. Otherwise, and to the maximum extent permitted by law, the software is provided as is, with no warranty of uninterrupted operation or compatibility with every device, firmware or cloud provider.
TektAxis is not liable for:
- indirect damages, lost profits and loss of revenue or opportunity;
- collection failures caused by the customer’s devices, firmware, credentials, network or server;
- data loss in third-party services or in destinations configured by the customer;
- configuration changes made to devices by the customer or third parties.
TektAxis’s total liability related to Nexus is limited to the amount paid by the customer in the 12 months before the event. These limitations do not apply in cases of willful misconduct or gross negligence and do not override the rights guaranteed by the Brazilian Consumer Protection Code when the customer is a consumer.
12Personal data and confidentiality
Personal data is handled according to the Privacy Policy. For data stored on the customer’s server, the customer is the controller. When TektAxis accesses that data to provide support, it acts as a processor and follows the customer’s instructions.
Each party keeps confidential the technical and commercial information of the other party it has access to, such as network configurations, credentials, prices and Contract terms, during the Contract and for 5 years after it ends.
13Suspension and termination
TektAxis may suspend support and revoke or not renew the license if the customer breaches these terms, especially the restrictions in section 04, after notice and a reasonable period to cure when the breach can be cured.
When the license ends, the customer must stop using Nexus. The collected configurations and backups belong to the customer and remain on its server and in the cloud destinations it configured.
14Changes to these terms
These terms may be updated. The effective date at the top shows the current version. Relevant changes are communicated to customers with reasonable notice and do not change conditions already set in the Contract during its term.
15Governing law and venue
These terms are governed by the laws of the Federative Republic of Brazil. The courts of the district where TektAxis has its registered office are chosen to settle any disputes, except where the law grants a consumer customer the courts of their own domicile.
